TERMS AND CONDITIONS FOR BE YOUR OWN HERO SYNDICATE

1. INTRODUCTION

Welcome to the Be Your Own Hero Syndicate. By purchasing a 2% share in the Syndicate, you agree to be bound by the following Terms and Conditions, which outline the structure, financial management, and responsibilities of the Syndicate.

2. DEFINITIONS

• Syndicate: Refers to the Be Your Own Hero Syndicate.

• Syndicate Manager: The individual or entity responsible for the administration and operation of the Syndicate.

• Share: The 2% participation in the leasing arrangement of I Am Superman.

• Member: An individual who has purchased a share in the Syndicate.

• Trainer: Michael O’Callaghan, the licensed trainer responsible for training and racing decisions.

3. STRUCTURE & MEMBERSHIP

3.1 Lease Agreement

The Syndicate is leasing the horse I Am Superman, meaning members do not own the horse but participate in any prize money earned during the lease period. The Syndicate does not have the right to sell the horse, as ownership remains with the original owner.

3.2 Membership Fees

Each 2% share costs €70 per month. Payments are due on the 1st of each month. If a member fails to make a payment, they may forfeit their share in the Syndicate.

4. MANAGEMENT AND DECISION-MAKING

4.1 Racing & Training

Michael O’Callaghan, the assigned trainer, will oversee all aspects of training and racing. Race entries, jockey selection, and race strategy decisions rest with the trainer in consultation with the Syndicate Manager.

4.2 Syndicate Manager Authority

The Syndicate Manager is responsible for finances, communications, and general administration. Members may provide input, but final decisions remain at the discretion of the Syndicate Manager and trainer.

5. PRIZE MONEY & FINANCIAL MANAGEMENT

5.1 Prize Money Distribution

Any prize money earned by I Am Superman will be distributed proportionally among Syndicate members based on their shareholding. Prize money is subject to standard deductions such as trainer and jockey fees.

5.2 Financial Transparency

The Syndicate Manager will provide members with periodic financial updates, including prize money earnings and expenses.

6. TERM & TERMINATION

6.1 Duration

The Syndicate will operate for the duration of the lease of I Am Superman unless terminated earlier.

6.2 Member Exit

A member who wishes to exit the Syndicate must provide one month's written notice. No refunds will be issued for previously paid fees.

6.3 Early Lease Termination

If the lease is terminated early for any reason, any remaining Syndicate funds will be distributed among members after all outstanding expenses are settled.

7. RISKS & DISCLAIMERS

7.1 Racing Risks

Members understand that horse racing is high-risk and there is no guarantee of financial return. Injuries, race performance issues, and unforeseen events may impact the horse’s career and earnings.

7.2 Liability Waiver

The Syndicate and its management shall not be held liable for financial losses resulting from injury, poor performance, or other racing-related circumstances.

8. CODE OF CONDUCT

Members agree to:

• Act in the best interests of the Syndicate and avoid any conduct that could harm its reputation.

• Follow all relevant Horse Racing Ireland (HRI) rules and regulations.

• Refrain from unauthorized disclosures of Syndicate information.

9. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and Conditions shall be governed by the laws of Ireland. Any disputes shall first be referred to mediation, and if unresolved, arbitration in accordance with the Arbitration Act 2010.

By proceeding with payment, members acknowledge that they have read, understood, and agreed to these Terms & Conditions.
